COMPANY FORMATION

What Is a Confirmation Statement?

If you've recently registered a limited company, you'll probably hear the term Confirmation Statement sooner rather than later.

For many founders, it's one of those requirements that appears out of nowhere.

And because the name isn't particularly clear, most people are left wondering:

What actually is it?

The good news is that it's much simpler than it sounds.

What Is a Confirmation Statement?

A Confirmation Statement is a filing submitted to Companies House.

Its purpose is to confirm that the information held about your company is accurate and up to date.

Every UK limited company must submit one.

Even if nothing has changed.

It's a legal requirement and forms part of your ongoing company responsibilities.

What Information Does It Confirm?

The Confirmation Statement reviews information such as:

  • Registered office address
  • Director details
  • Shareholder information
  • Company structure
  • SIC codes (business activity codes)

It allows Companies House to maintain an accurate public record of your company.

Do I Need To File One Every Year?

Yes.

Every limited company must file a Confirmation Statement at least once every 12 months.

Many founders assume they only need to file something if information changes.

That's not the case.

Even if every detail remains exactly the same, the Confirmation Statement must still be submitted.

What Happens If You Miss It?

Missing a Confirmation Statement can create unnecessary problems.

Companies House may take action against companies that repeatedly fail to meet filing requirements.

More importantly, it can damage your company's compliance record.

Most issues occur simply because founders weren't aware the filing was due.

Is It The Same As Filing Accounts?

No.

This is a common misunderstanding.

A Confirmation Statement is separate from:

  • Annual accounts
  • Corporation Tax returns
  • Self Assessment tax returns

Each has its own purpose and deadlines.

How Can Founders Stay On Top Of It?

The easiest approach is to understand your compliance responsibilities from the beginning.

Many founders choose to work with a support provider who can help manage company records, address updates and ongoing filing requirements.

This helps reduce the risk of missed deadlines and keeps everything organised as the business grows.

The Confirmation Statement isn't complicated.

But it is important.
